The images for sale come in standard sizes. You can request custom dimensions for an additional fee to ensure the prints fit perfectly in your space. Custom pricing will be discussed separately, and custom sizing might result in slight alterations to the image due to AI processing.
Digital Wall Art Factory License Agreement
This License Agreement is entered into by and between Digital Wall Art Factory, herein referred to as the ‘Licensor’, and the Customer, herein referred to as the ‘Licensee’. The purpose of this Agreement is to establish the terms under which the Licensee may use digital images provided by the Licensor.
The Licensor is a premier creator and distributor of digital wall art. The Licensee desires to acquire a license to utilize specific digital images produced by the Licensor, subject to the comprehensive terms and conditions delineated in this document.
Under this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, perpetual, royalty-free license to use, modify, and reproduce the licensed digital images for any lawful purpose, adhering strictly to the limitations outlined herein.
LICENCE Agreement
Before you proceed to purchase your chosen digital image, please ensure that you have read and agreed to the terms and conditions of our License Agreement. This step is essential to safeguard your rights and inform you of your obligations under this agreement.
Recitals:
The Licensor is engaged in the business of creating and distributing digital wall art, and the Licensee wishes to obtain a license to use certain digital images in accordance with the terms and conditions set forth in this Agreement.
1. Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable, perpetual, royalty-free license to use, modify, and reproduce the digital image(s) obtained from the Licensor for any lawful purpose, subject to the limitations specified in this Agreement.
2. Restrictions ( for Royalty Free )
The Licensee agrees to the following restrictions:
a. The Licensee shall not resell, sublicense, distribute, or otherwise commercially exploit the digital image(s) in their original or modified form.
b. The Licensee shall not convert the digital image(s) into non-fungible tokens (NFTs) or use them in any blockchain-related context to claim exclusive ownership or provenance.
c. The Licensee shall not claim exclusive ownership of the digital image(s) unless they have commissioned a custom-made image with exclusive rights from the Licensor.
3. Custom-Made Images and Exclusive Ownership
For custom-made images that are purchased with exclusive ownership rights, the following conditions apply:
a. Upon delivery to the Licensee, the Licensor agrees to delete the source file(s) of the custom-made image(s) to guarantee the authenticity and exclusivity of the created image(s).
b. The Licensee shall retain exclusive rights to the custom-made image(s) and is allowed to use, modify, or reproduce them for any lawful purpose.
4. Intellectual Property Rights
The Licensor retains all intellectual property rights to the digital image(s), except for the rights explicitly granted to the Licensee in this Agreement. The Licensee acknowledges that the use of the digital image(s) does not transfer ownership of the intellectual property to the Licensee.
5. Exclusivity – Exclusive Rights License
If an image has not been previously sold, you can acquire an exclusive license to own and use it for any purpose. Upon purchase, the image becomes your property, and we will delete all associated source files. We may keep a low-resolution, watermarked version of the image online, but it will be clearly marked as unavailable for purchase and that exclusive rights have been granted.
The price for an exclusive rights license is per image and can be found at the product page in the webshop. The price can vary depending on the extent of additional work required or we put into it upon your request.
Delivery will be completed via WeTransfer after payment is received. At that time, you can request a custom size for the image.
6. Termination
The Licensor may terminate this Agreement if the Licensee breaches any of the terms and conditions set forth herein. In case of termination, the Licensee must cease using the digital image(s) and destroy all copies in their possession.
7. Limitation of Liability
The Licensor’s liability to the Licensee for any claims arising out of this Agreement shall be limited to the amount paid by the Licensee for the digital image(s). The Licensor shall not be liable for any consequential, incidental, or indirect damages arising from the use of the digital image(s).
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from this Agreement shall be resolved in the courts of [Jurisdiction].
9. Entire Agreement
This Agreement constitutes the entire understanding between the Licensor and the Licensee regarding the subject matter herein and supersedes all prior agreements, understandings, or arrangements, whether written or oral.
10. Acceptance of Terms
By purchasing a digital image from the Licensor, the Licensee acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
11. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12. Acknowledgment
The Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
13. Cancellation of a Custom Request.
If you decide to cancel your order after we’ve provided the previews, we will refund your initial down payment. However, since Digital Wall Art Factory created the images, we retain the right to use some of the derivative works. If the original image includes people, we ensure that any derivative works bear little to no resemblance to the source image.
